How to successfully set up your company in Djibouti

1️⃣ A local representative Appoint a Djiboutian national or foreign permanent resident as your company’s legal representative.
2️⃣ A local business address
Sign a commercial lease agreement.
💡 Good to know:
A residential lease for the company director or a virtual office agreement (e.g., REGUS) may sometimes be accepted, subject to final approval by the relevant authority.
3️⃣ Minimum capital requirement
SARL / EURL: No legal minimum capital requirement, but the ODPIC generally requires a minimum of DJF 10,000.
👉 Tips: plan for a capital amount to cover at least your initial operating costs.
SA / SAS / SCA: 5,000,000 DJF minimum (excluding Public Offering)
4️⃣ Business bank account
Open a local business bank account to :
Deposit the share capital
Obtain the bank certificate (proof of capital subscription and payment)
5️⃣ Registration process
Submit your application to the One-Stop Shop (Guichet Unique), including :
Registration form
Articles of incorporation
Commercial lease agreement
ID/passport & criminal record of shareholders/local representative
Bank certificate
Power of attorney (if applicable)
⏳ Timeframe: 3 working days (if the file is complete and compliant)
